1. Acceptance of Terms
These Terms of Service ("Terms") form a binding contract between you and Scratch Robots LLC ("Scratch Robots," "we," "us," or "our"). They govern your access to and use of our website at scratchrobots.com, our subscription service, our online learning platform, our community forum, and any physical robotics kits or related products we ship (collectively, the "Service").
By creating an account, purchasing a subscription or kit, or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Refund Policy. If you do not agree, do not use the Service.
If you are using the Service on behalf of a minor, you agree to these Terms on their behalf and represent that you have the legal authority to do so.
2. Eligibility and Accounts
2.1 Minimum Age and Parental Consent
The Service is intended for users 13 years of age and older. We do not knowingly permit children under 13 to register for or use the Service.
If the intended end user is between 13 and 17 years old, the account must be created and held by the parent or legal guardian. The parent or guardian:
- Is the contracting party with Scratch Robots and is legally responsible for compliance with these Terms;
- Is the named payor for any subscription, kit purchase, or other charge;
- Consents to the minor's participation in the Service, including learning activities, forum participation, and the upload of any photos for replacement requests;
- Acknowledges responsibility for supervising the minor's use of physical kit components in accordance with the safety guidance described in Section 8.
2.2 Account Security
When you create an account you must provide accurate and complete information and keep it current. You are responsible for safeguarding your password and for all activity that occurs under your account. You must notify us immediately at support@scratchrobots.com of any unauthorized access. We are not liable for losses caused by unauthorized use of your account that occurred before you notified us.
You may not share your account credentials, transfer your account, or allow others to use your account.
2.3 One Account Per Person
Each user may maintain only one active account. We reserve the right to suspend or terminate duplicate accounts.
3. The Service
3.1 Subscriptions
Scratch Robots offers monthly, semester, annual, and other subscription plans (each, a "Plan"). The current Plans, prices, and the included projects, kits, and learning materials are listed on our Pricing page. When you subscribe, you receive:
- Periodic delivery of physical robotics kits;
- Access to our online learning portal, including lesson videos, written content, downloadable resources, and quizzes for the projects covered by your Plan;
- Access to the community forum;
- Access to customer support and the replacement-parts request flow described in Section 6.
Some lessons or projects unlock progressively as your subscription advances ("drip release"). The unlock schedule for your Plan is shown on the project detail pages.
3.2 Individual Project Purchases
You may also purchase individual projects on a one-time basis without subscribing. Individual purchases include the project's kit (if shipped) and access to the corresponding online learning materials. Individual purchases do not auto-renew.
3.3 Beta Program
If you are invited to or apply for our beta program, your participation is also subject to the Beta Program Terms disclosed at the time of application or in your beta welcome email. Beta participants may receive special promotional pricing and are expected to provide feedback to help us improve the Service.
3.4 Service Availability
We strive to keep the Service available and operating, but we do not guarantee uninterrupted availability. We may modify, suspend, or discontinue any feature, project, or part of the Service at any time, with or without notice. We will provide reasonable advance notice of changes that materially reduce the value of an active paid Plan.
4. Orders, Pricing, and Payment
4.1 Pricing and Taxes
All prices are listed in U.S. dollars unless otherwise stated and are exclusive of applicable taxes. We use Stripe Tax to calculate and collect any required sales tax based on your shipping address. We may change pricing for new subscriptions or for renewals; for renewals, we will give you advance notice as described in Section 5.
4.2 Payment
You authorize us (and our payment processor, Stripe) to charge the payment method on file for all amounts owed, including subscription fees, individual project purchases, applicable taxes, and shipping charges. Payment card information is collected and processed by Stripe. We do not store your full card number on our systems.
If a payment fails (for example, your card is declined or expired), we may retry the charge, suspend your account or shipments, and contact you to update your payment method. Unpaid balances may result in cancellation of your subscription.
4.3 Promotional Codes and Referral Credits
Promotional codes (including beta codes, referral codes, and gift codes) are subject to the terms displayed at the time of issuance, including any usage limits, expiration dates, and restrictions to specific accounts or email addresses. We reserve the right to modify or revoke any promotional code at any time, including if we reasonably suspect fraud or abuse.
Referral credits earned through our referral program are non-transferable, have no cash value, and may be revoked if we determine the underlying referral was fraudulent or violated these Terms.
5. Subscription Renewal, Cancellation, and Refunds
5.1 AUTOMATIC RENEWAL
By subscribing to a Plan, you authorize Scratch Robots to automatically charge your payment method on a recurring basis at the interval shown for your Plan (monthly, semester, annual, etc.) until you cancel.
Your subscription will automatically renew at the then-current price for your Plan. We will send you a reminder email before each renewal where required by applicable law.
5.2 How to Cancel
You may cancel your subscription at any time:
- From your Subscriptions page in your account dashboard, or
- By contacting us at support@scratchrobots.com.
If you cancel, your subscription will continue through the end of your current paid period. You will not receive a refund for the current period unless required by law or our Refund Policy.
5.3 Pause and Resume
Where supported by your Plan, you may pause your subscription temporarily. Paused subscriptions do not bill until you resume them. The unlock schedule for kit shipments and lessons resumes from the point at which you paused.
5.4 Refunds
Refunds are governed by our separate Refund Policy, which is incorporated into these Terms by reference. The Refund Policy explains the circumstances in which we provide refunds, replacements, or credits.
6. Physical Kits, Shipping, and Replacement Parts
6.1 Shipping
We ship physical kits to the address you provide at checkout or in your account profile. You are responsible for ensuring your shipping address is accurate. Failed deliveries due to inaccurate address information may incur additional shipping charges.
We currently ship within the United States only unless otherwise stated. Shipping times are estimates, not guarantees. Title and risk of loss for physical products pass to you upon delivery to the carrier.
6.2 Damaged, Defective, or Missing Parts
If you receive a kit with damaged, defective, or missing parts, please submit a replacement parts request within 30 days of delivery from My Requests in your account. We will review your request and, in our reasonable discretion, ship replacement parts at no additional cost or provide an equivalent remedy.
We may require photographs of the damaged or defective parts. The replacement parts process is described in more detail in our Refund Policy.
6.3 Returns of Physical Kits
Returns of physical kits are governed by our Refund Policy.
7. Online Learning Content and Intellectual Property
7.1 Our Content
The Service, including all lesson videos, written content, downloadable resources, project designs, kit specifications, software, code samples, designs, logos, and trademarks (collectively, "Scratch Robots Content"), is owned by Scratch Robots or our licensors. Scratch Robots Content is protected by copyright, trademark, and other intellectual property laws.
7.2 License to You
Subject to your compliance with these Terms and your active subscription or purchase, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Scratch Robots Content for your personal, non-commercial educational use within the Service.
7.3 What You May Not Do
You may not, and may not allow others to:
- Copy, reproduce, redistribute, sell, lease, sublicense, or otherwise commercially exploit Scratch Robots Content;
- Download, screen-record, or scrape lesson videos or written content for purposes other than personal use within the Service;
- Modify, translate, adapt, reverse engineer, decompile, or create derivative works of Scratch Robots Content;
- Remove or alter any copyright, trademark, or other proprietary notices;
- Use Scratch Robots Content to train any machine-learning model;
- Use the Service in any way that violates applicable law or infringes the rights of any third party;
- Interfere with or disrupt the Service, including by introducing malware, attempting to gain unauthorized access, probing, or scanning;
- Use any automated means (bots, scrapers, etc.) to access the Service except as expressly permitted;
- Use the Service to engage in fraud, including the creation of fraudulent referrals, beta applications, or promo code redemptions.
7.4 Schools and Group Use
If you wish to use the Service for a school, classroom, or other group, you must enroll through our School Programs offering. Use of an individual subscription for group instruction is not permitted.
8. Safety Disclaimers — Important
8.1 Adult Supervision
Robotics kits contain electronic components, batteries, small parts, sharp edges, and (in some kits) tools. Adult supervision is required during assembly and use of any kit. Some components are not suitable for children under a specific age, as indicated on the kit packaging or in the safety guidelines for each project.
Choking hazard: kits contain small parts that may pose a choking hazard to children under 3 years of age. Keep all kits away from children under 3.
8.2 Follow the Safety Guidelines
Each project includes safety guidelines. You are responsible for reading, understanding, and following all safety guidelines before and during the build of any project. Do not exceed recommended voltages, do not modify components in ways not described in the lessons, and do not use kits in environments (such as wet conditions) for which they are not designed.
8.3 Battery Safety
Many kits include batteries. Batteries can leak, overheat, or in rare cases catch fire if mishandled. Do not short-circuit batteries, expose them to high temperatures, attempt to charge non-rechargeable batteries, or use damaged batteries.
8.4 No Medical, Aviation, or Critical Use
Scratch Robots projects are educational. They are not designed or tested for and must not be used for any medical, life-support, aviation, transportation, security, or other safety-critical application.
8.5 Assumption of Risk
You acknowledge that the assembly and operation of robotics kits involves inherent risks, including risk of personal injury (such as cuts, burns, electric shock, or eye injury) and risk of property damage. You voluntarily assume those risks. Scratch Robots is not liable for injury or damage resulting from your use of any kit, except as required by applicable consumer-protection law.
9. User-Generated Content
9.1 Forum Posts and Other Submissions
The Service includes a community forum and other features that allow you to post text, images, code, links, and other content ("User Content"). You retain ownership of your User Content.
By submitting User Content to the Service, you grant Scratch Robots a worldwide, non-exclusive, royalty-free, sublicensable, perpetual, irrevocable license to use, host, store, reproduce, modify, create derivative works of, communicate, publish, publicly perform, publicly display, and distribute your User Content for the purposes of operating, promoting, and improving the Service. This license survives termination of your account with respect to User Content that has been incorporated into discussions or features that other users have engaged with.
9.2 Photos in Replacement Requests
When you upload photos as part of a replacement parts request, you grant us the right to use those photos internally for purposes of reviewing the request, training our quality-control processes, and (in aggregated and anonymized form) analyzing defect trends. We will not use those photos for marketing or publish them publicly without your consent.
9.3 Community Guidelines
You agree not to post User Content that:
- Is unlawful, harassing, threatening, hateful, defamatory, obscene, sexually explicit, or otherwise inappropriate;
- Is misleading or deceptive;
- Infringes the intellectual property, privacy, or other rights of any third party;
- Reveals personal information about another person without their consent;
- Promotes violence, illegal activity, or self-harm;
- Spams the forum or constitutes unsolicited advertising;
- Includes malicious code or links to malicious sites;
- Violates the safety disclaimers in Section 8 by, for example, instructing other users to modify kits in dangerous ways.
9.4 Moderation
We reserve the right (but have no obligation) to monitor, edit, refuse, or remove User Content, and to suspend or terminate accounts that violate these Terms. We are not responsible for User Content posted by other users.
9.5 Public Nature of Forum Content
Forum posts, replies, votes, and your display name are public and may be visible to other users and to search engines. Do not post information you wish to keep private.
10. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and agree to our Privacy Policy.
11. Suspension and Termination
11.1 Termination by You
You may terminate your account at any time by canceling your subscription (if any) and contacting us at support@scratchrobots.com to request account deletion. Account deletion is governed by our Privacy Policy.
11.2 Termination by Us
We may suspend or terminate your access to the Service, with or without notice, at any time for any reason, including (without limitation):
- Violation of these Terms or our community guidelines;
- Failed payment;
- Suspected fraud, abuse, or unlawful activity;
- A request by a parent or guardian (in the case of accounts for users under 18);
- A legal requirement or regulatory order.
11.3 Effect of Termination
On termination, your right to access and use the Service ends immediately. Sections 4 (for any unpaid amounts), 5.4, 7, 8, 9, 11, 12, 13, 14, 15, and 16 survive termination.
12. Disclaimers
THE SERVICE AND ALL CONTENT, KITS, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCRATCH ROBOTS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
- DEFECTS WILL BE CORRECTED;
- THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- ANY PARTICULAR PROJECT, BUILD, OR LEARNING OUTCOME WILL BE ACHIEVED BY ANY PARTICULAR USER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCRATCH ROBOTS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE OR ANY KITS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SCRATCH ROBOTS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limitations apply regardless of the legal theory of the claim (contract, tort, statute, or otherwise) and regardless of whether the limited remedies available to you fail of their essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability will be limited to the maximum extent permitted by law.
14. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Scratch Robots and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service;
- Your violation of these Terms;
- Your User Content;
- Your violation of any third-party right, including any intellectual property or privacy right.
15. Dispute Resolution
⚠️ The arbitration and class-action-waiver clauses below are common in U.S. consumer SaaS Terms but are subject to evolving state law. Have your lawyer confirm enforceability in California, Massachusetts, and any other state where you have material customer concentration. Also confirm whether you want a 30-day opt-out window (common practice).
15.1 Informal Dispute Resolution First
Before filing any formal legal action, you and Scratch Robots agree to first attempt to resolve any dispute informally for at least 60 days. To begin informal dispute resolution, send a written notice describing the dispute to legal@scratchrobots.com.
15.2 Binding Arbitration
If we are unable to resolve the dispute informally, you and Scratch Robots agree that any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by binding individual arbitration, administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect.
The arbitration will be conducted in Texas or via remote videoconference. The arbitrator's decision will be final and may be entered as a judgment in any court of competent jurisdiction.
15.3 Class Action Waiver
You and Scratch Robots agree that any arbitration or court proceeding will be conducted on an individual basis only and not as a class, collective, consolidated, or representative action. The arbitrator may not consolidate claims or preside over any class proceeding.
15.4 Exceptions
Notwithstanding the above, either party may bring an action in small-claims court for any claim that qualifies, and either party may seek injunctive or other equitable relief in court for the protection of intellectual property rights.
15.5 Opt-Out
You may opt out of the arbitration agreement and class action waiver in Section 15 by emailing legal@scratchrobots.com within 30 days of first creating your account. Your email must include your name, the email address associated with your account, and a clear statement that you wish to opt out. Opting out will not affect any other provision of these Terms.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. Subject to Section 15, the exclusive venue for any court proceeding permitted under these Terms is the state and federal courts located in Dallas County, Texas.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will:
- Update the "Last Updated" date at the top of these Terms;
- For material changes, notify you by email (to the address associated with your account) and/or by posting a prominent notice on the Service at least 30 days before the change takes effect;
- For changes that materially reduce the value of your active paid Plan, give you the option to cancel your subscription and receive a pro-rata refund for the unused portion of the current billing period.
Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you should stop using the Service and may cancel your subscription.
18. Miscellaneous
18.1 Entire Agreement
These Terms, together with the Privacy Policy, the Refund Policy, and any other terms specifically incorporated by reference, constitute the entire agreement between you and Scratch Robots regarding the Service and supersede all prior agreements, communications, and understandings.
18.2 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
18.3 No Waiver
Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
18.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms at any time, including in connection with a merger, acquisition, financing, or sale of assets.
18.5 Force Majeure
We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil disturbance, government action, labor disputes, internet or utility disruptions, and pandemics.
18.6 No Third-Party Beneficiaries
Except as expressly stated, these Terms confer no rights on any third party.
18.7 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
18.8 Notices
We may send you notices by email (to the address on your account) or by posting them on the Service. You may send legal notices to us at legal@scratchrobots.com.
